Public Offer Agreement

1. General Provisions

1.1. This Agreement is a public offer (hereinafter referred to as the "Agreement") issued by Ushakova Marta, NPE, hereinafter referred to as the "Service Provider," to any legal entity (hereinafter referred to as the "Client") wishing to use the services for posting and publishing job vacancies.

1.2. By accepting this Agreement through payment for services or any other action indicating consent, the Client confirms their acceptance of the terms and conditions set forth herein.

2. Subject of the Agreement

2.1. The Service Provider shall provide the Client with services for posting and publishing job vacancies (hereinafter referred to as the "Services") on the platform Jobs Shadow under the terms specified in this Agreement.

2.2. The Services shall be provided in accordance with the terms, tariffs, and conditions published on the Service Provider's official website.

3. Rights and Obligations of the Parties

3.1. The Service Provider undertakes to:

  • Publish the Client's job vacancies promptly, as per the agreed schedule;
  • Ensure the proper functioning of the platform for job vacancy publication;
  • Provide technical support during the period of service.

3.2. The Client undertakes to:

  • Provide accurate and lawful job vacancy information;
  • Pay for the Services in a timely manner as per the tariffs;
  • Refrain from publishing content that violates the law or third-party rights.

4. Fees and Payment Procedure

4.1. The cost of the Services shall be determined in accordance with the rates published on the Service Provider's website.

4.2. The Client shall make full payment prior to the provision of Services unless otherwise agreed in writing.

4.3. Payment shall be deemed completed upon receipt of the funds in the Service Provider's account.

5. Liability of the Parties

5.1. The Service Provider shall not be held liable for:

  • Delays or interruptions caused by third-party services or force majeure events;
  • Misuse of information published in the job vacancies by third parties.

5.2. The Client shall bear full responsibility for the accuracy and legality of the information provided for publication.

6. Term and Termination

6.1. This Agreement shall enter into force upon acceptance and remain in effect until terminated by either party.

6.2. Either party may terminate this Agreement by providing written notice at least 15 calendar days in advance.

7. Confidentiality

7.1. The Parties agree to maintain the confidentiality of information exchanged during the performance of this Agreement.

8. Dispute Resolution

8.1. Any disputes arising from this Agreement shall be resolved through negotiations. If no agreement is reached, disputes shall be settled in accordance with the applicable laws of Ukraine.

9. Miscellaneous

9.1. This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements.
